01Scope and purpose
These Terms of Sale set out the commercial terms on which Scovara’s free trial and paid plans are offered: prices, ordering, payment, renewal, cancellation and related matters. They apply to every paid plan ordered through Scovara.
They complement the Terms of Service, which govern the use of Scovara itself — accounts, your content, acceptable use and AI-assisted output — and the Privacy Policy, which explains how personal data is handled. On prices, payment, renewal and cancellation, these Terms of Sale prevail over the Terms of Service; on everything else, the Terms of Service prevail.
Any general purchasing conditions of the customer do not apply unless Scovara has agreed to them in writing.
02Service provider
Scovara is provided by Triven Kadiata, Entrepreneur individuel (EI), established in France at 134 avenue des Bleuets, 93370 Montfermeil, France (SIREN 889 890 141; SIRET 889 890 141 000 27; VAT number FR60889890141). Email: dev.triven.kadiata@gmail.com.
In these Terms of Sale, “Scovara”, “we” and “us” refer to that operator. Full publisher details are listed in the Legal Notice.
03Professional customers
Scovara is intended exclusively for customers acting for business or professional purposes — for example agencies, studios, consultants, freelancers and other self-employed professionals, founders and companies. In these Terms of Sale, the “customer” is the business or professional on whose behalf a workspace is subscribed.
By purchasing a paid subscription, the customer confirms that the subscription is acquired for purposes related to its professional activity. What matters is the purpose of the purchase, not the size or legal form of the business: a freelancer or sole founder who subscribes for their business acts for professional purposes.
Scovara is not offered to consumers acting for purposes outside their trade, business, craft or profession.
04Description of Scovara
Scovara is online software that helps teams delivering client work compare client requests against the scope of their agreements. The trial and every paid plan include the same core product:
- Agreement and SOW upload
- Scope extraction
- AI scope analysis
- Contract evidence
- Slack request ingestion
- Manual requests
- Human decisions
- Change requests
- PDF export
Plans differ only in their usage limits (see Usage limits). The service is described in more detail in the Terms of Service.
06Free trial
- Each new workspace starts a free trial of 7 days when the workspace is created.
- No credit card or other payment method is required for the trial.
- During the trial, the workspace can have up to 2 active projects and 2 Slack channel mappings, and can analyze up to 30 client requests in total.
- The trial never turns into a paid subscription by itself, and nothing is charged when it ends. To keep starting new work after the trial, the workspace owner must explicitly choose a paid plan.
- When the trial ends, the workspace’s existing data — projects, requests, analyses and change requests — remains accessible. New paid functionality, such as creating projects, uploading agreements, analyzing requests or generating change requests, may be restricted until a paid plan is chosen.
The 7-day free trial is a commercial trial offered by Scovara and is not a statutory withdrawal period. Scovara may change the trial offered to workspaces created in the future; this does not affect a trial already under way.
07Plans and pricing
Scovara currently offers two paid plans, each billed monthly per workspace:
- Starter — $29 USD per month: 3 active projects, 2 Slack channels, 100 analyzed requests / month.
- Pro — $59 USD per month: 15 active projects, 15 Slack channels, 500 analyzed requests / month.
Prices are displayed in US dollars (USD) and exclude any applicable taxes (see Taxes). The price that applies to an order is the one shown when the order is placed. Current prices are always available on the Pricing page.
08Taxes
Listed prices do not include taxes. Depending on the transaction and the customer — for example the customer’s location and tax status — taxes such as VAT or sales tax may be added to the price. Any tax charged is shown before payment is confirmed.
The customer must provide accurate billing and tax information where requested, such as its business name, billing address and, where applicable, tax identification number. The tax treatment of each transaction depends on applicable law and on that information.
09Subscription and order process
A paid plan is ordered as follows:
- The workspace owner chooses Starter or Pro in Settings → Billing.
- Before continuing, the owner confirms that the subscription is purchased for business or professional purposes and accepts the Terms of Service and these Terms of Sale. The versions accepted are recorded with the order.
- The owner is then taken to a secure checkout page hosted by Stripe, Scovara’s payment processor, to enter payment details and review the total, including any taxes, before paying.
- The subscription starts once payment is confirmed. The plan becomes active in Scovara once Stripe confirms the subscription, which usually takes a few moments.
Invoices for paid subscriptions can be accessed from the billing portal available in Settings → Billing.
10Payment
Payments are processed by Stripe. Payment details are entered on Stripe’s pages; Scovara does not receive or store full card numbers. Stripe’s own terms apply to the processing of payments.
Subscriptions are paid in advance. Each monthly fee is due, and charged to the customer’s payment method, at the start of the billing period it covers. By subscribing, the customer authorizes these recurring charges until the subscription is canceled.
11Automatic monthly renewal
Subscriptions run for one month at a time and renew automatically at the end of each billing period for another month, at the price then in effect, until canceled. The next renewal date is shown in Settings → Billing.
12Cancellation
The workspace owner can cancel at any time from Settings → Billing, through “Manage billing”, which opens Stripe’s secure billing portal.
- Cancellation takes effect at the end of the current billing period. No further renewal is charged after that.
- Access to the paid plan continues until that date while the subscription remains active.
- Until that date, a scheduled cancellation can be reversed from the same billing portal.
Amounts already paid are not refunded, and no prorated refund is given for the unused part of a billing period, except where applicable law requires otherwise.
Once a subscription has ended, the workspace’s existing data remains accessible and new paid functionality may be restricted, as after the trial. Closing an account and deleting its content is covered by the Terms of Service.
13Failed and late payments
Failed payments
If a payment fails, Stripe may retry it, and the subscription may be marked as past due in the meantime. The workspace owner can update the payment method at any time through “Manage billing”. In the event of a failed payment, Scovara may limit or suspend access to paid functionality, subject to any payment-recovery period made available. If payment cannot be collected, the subscription may end.
Late-payment penalties
Any amount not paid by its due date bears late-payment penalties from the day after the due date, without any reminder being necessary, at the interest rate applied by the European Central Bank to its most recent refinancing operation, increased by 10 percentage points.
In addition, as provided by French commercial law, a professional customer that pays late owes a fixed indemnity for recovery costs of EUR 40. Where the recovery costs actually incurred exceed this amount, additional compensation may be claimed on justification, where permitted by applicable law.
14Usage limits
Each plan comes with usage limits, which are product entitlements:
- Free trial: 2 active projects, 2 Slack channels, 30 analyzed requests across the trial.
- Starter: 3 active projects, 2 Slack channels, 100 analyzed requests / month.
- Pro: 15 active projects, 15 Slack channels, 500 analyzed requests / month.
Active projects exclude archived projects. Analyzed requests count the client requests analyzed by AI during the trial or, on a paid plan, during the current billing period. A paid plan’s analysis allowance starts again with each billing period; unused allowance does not roll over.
When a limit is reached, the related new action is refused until usage falls below the limit or a new billing period starts. Existing data is not affected, and nothing is charged beyond the plan’s price.
15Changes to prices and commercial terms
Scovara may change its prices, plans or these Terms of Sale. A change to the price of an existing subscription is notified to the workspace owner by email or in Scovara with reasonable notice, and applies only from a renewal after that notice. The customer may cancel before the change applies.
Changes never apply retroactively to a billing period already paid.
16Service availability
Scovara is provided online. We work to keep it available and reliable, but it may be interrupted, for example for maintenance or because of an issue with a third-party provider, and no specific availability level is guaranteed. The Terms of Service describe how the service may change over time.
17AI-assisted functionality
Scovara provides AI-assisted scope analysis. It helps customers extract scope from their agreements and assess client requests against it, citing the contract evidence behind each result.
- Classifications and extracted scope information are assistive outputs and may require human review.
- Scovara does not provide legal advice.
- Final scope, contractual and commercial decisions remain with the customer.
- Users should review the relevant agreements and evidence before acting on any output.
The Terms of Service describe AI-assisted output in more detail.
18Customer responsibilities
- Pay the fees for its subscription when due and keep a valid payment method on file.
- Provide accurate and up-to-date billing and tax information.
- Make sure that the person subscribing is authorized to act for the customer.
- Use Scovara in line with the Terms of Service, and make sure its workspace members do the same.
- Review AI-assisted output before relying on it.
19Intellectual property
A subscription gives the customer a non-exclusive, non-transferable right to use Scovara for its business during the subscription. It does not transfer any intellectual property in Scovara. The customer keeps its rights in its own content, as described in the Terms of Service.
20Data protection
How Scovara handles personal data is explained in the Privacy Policy. Payment details are collected and processed by Stripe as payment processor; Scovara receives only the billing information it needs to manage the subscription, not full card numbers.
21Liability
The liability provisions of the Terms of Service also apply to paid plans. Nothing in these Terms of Sale limits or excludes liability that cannot be limited or excluded under applicable law.
22Force majeure
Neither party is liable for a failure or delay in performing its obligations caused by an event of force majeure within the meaning of French law. Force majeure does not excuse the payment of amounts already due.
23Duration and termination
A paid subscription runs from month to month until it is canceled as described in Cancellation, or until it ends because payment could not be collected.
Scovara may also suspend or end access in the cases set out in the Terms of Service. Non-payment is handled as described in Failed and late payments.
24Professional use and right of withdrawal
Scovara is intended for customers acting for professional purposes. The statutory consumer right of withdrawal applicable to certain distance contracts does not generally apply where the customer purchases the service for professional purposes. Any mandatory legal rights that exceptionally apply remain unaffected.
The 7-day free trial is a commercial trial offered by Scovara and is not a statutory withdrawal period.
25Governing law and disputes
These Terms of Sale are governed by French law. This does not deprive the customer of any mandatory protection it has under the law of the country where it is established. If a dispute arises, please contact us first so we can try to resolve it amicably. If that does not succeed, the dispute will be brought before the courts that have jurisdiction under applicable law.
